DISPUTES.All claims brought against FFL123 by viewers, individuals or entities will be subject to confidential arbitration in SiouxFalls, South Dakota. Arbitration under this Agreement will be conducted in accordance with the then applicable rules of the American Arbitration Association. The arbitral award will be binding and may be entered upon in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement may be joined, whether by collective arbitration or otherwise, with any arbitration involving any other party subject to this Agreement. Subject to the last sentence of this paragraph, in any arbitration, the parties will be responsible for their own costs, expenses and attorneys' fees. In the event this arbitration clause is unenforceable, any dispute relating to this agreement or transactions between a viewer, person and FFL123 will be resolved in the state or federal courts located in Minnehaha County, South Dakota and each viewer, person or entity Company brought you hereby consent and submit to such jurisdiction and venue as exclusive and appropriate. If FFL123 is successful in arbitration or litigation, it will receive reasonable costs, expenses and attorneys' fees.
16.TITLE.Section titles in the Agreement are for convenience only and have no legal or contractual effect.
17.APPLICABLE LAW.This Agreement and the relationship between Viewer and FFL123 shall be governed by the laws of the State of South Dakota, without regard to conflicts of law principles.
18.FULL AGREEMENT.This Agreement constitutes the entire agreement between Viewer and FFL123, except for Viewers who become or are customers; provided customers are subject to additional terms and conditions for use of products/services purchased from FFL123.
19.THE DEFINITION.
- A. “Agreement” means these Viewer Terms and Conditions.
- B. “Customer” includes any person or entity who purchases products or services from FFL123, or any person or entity who submits inquiries to us via email. Customers are spectators within the meaning of this contract.
- C. "FFL123" is a BMADDOX ENTERPRISES, LLC, South Dakota Silencer, FFL123.com and all other subsidiaries, companies and websites owned or operated by BMADDOX ENTERPRISES, LLC.
- D. "FFL123 Marks" has the meaning ascribed to it in Section 13(c).
- It is. “Our” means FFL123.
- Q. “We” means FFL123.
